Lauren’s recent experience includes:

  • Advising a manufacturing client in an arbitration relating to a commercial construction contract dispute;
  • Advising SILK Laser Clinics (ASX:SLA) on its proposed acquisition by Australian Pharmaceutical Industries (API) (a subsidiary of Wesfarmers (ASX:WES)) by way of scheme of arrangement for approximately $180m;
  • Acting for and advising directors and shareholders in disputes regarding their ownership, rights and obligations;
  • Acting for parties seeking to enforce post transaction restraints; and
  • Acting in relation to an ownership dispute of a national sporting organisation.

Dispute Type: Sale & Purchase Dispute. Our client supplied electrical equipment to a head contractor but was not paid its final progress claim for that supply. We implemented a successful strategy which saw our client commence arbitration proceedings against the head contractor with a view to proceeding through to trial if a negotiated outcome could not be reached. Despite an alleged $8 million counterclaim by the head contractor, we helped our client negotiate an outcome which saw it recover a large portion of its final progress claim, resolve the head contractor’s counterclaim, and avoid the time and significant expense of a trial.

A dual track mediation/litigation strategy led to a negotiated resolution within 10 months.  The resolution included a buy out of the exiting founder agreeing at a price materially below the value set on a subsequent capital round plus a longer restraint than was enforceable under the shareholders agreement.
